Terms of Use

1. What Cerdyn is
Cerdyn lets you create a digital business card, generate a QR code and shareable link for it, and let other people save your contact details directly to their phone. Cerdyn is offered on a subscription basis with the plans described at cerdyn.com/pricing, which form part of these Terms.
2. Accounts
- You must provide accurate information when creating an account and keep your login credentials confidential.
- You're responsible for all activity that occurs under your account, including cards created and team members you invite.
- You must be legally able to enter into a binding contract to create an account.
3. Subscription plans, billing, and cancellation
- Free plan — one user, no payment required, available for as long as we continue to offer it.
- Business plan — up to 50 user seats within an organization, billed annually, at the price shown on the pricing page at the time of purchase.
- Enterprise plan — up to 500 user seats within an organization, billed annually, at the price shown on the pricing page at the time of purchase.
- Organizations larger than 1,000 employees are not available for self-service signup; contact us for a custom quote.
- Paid subscriptions are billed in advance and automatically renew for successive annual terms unless cancelled before the renewal date.
- Payments are processed by Stripe, Inc. We do not store your full card details ourselves — see our Privacy Policy for how payment data is handled.
- You can cancel or change your plan at any time from the Billing page, which uses Stripe's Customer Portal. Cancelling stops future renewals; unless required by applicable law, fees already paid for the current billing period are non-refundable and access continues until the end of that period.
- We may change subscription pricing for future billing periods. We'll give you reasonable notice before a price change takes effect for your account.
4. Seats and organizations
Business and Enterprise plans are licensed to an organization, not an individual. The organization owner (the account that created the organization, or upgraded it) is responsible for inviting and removing team members, and for staying within the seat limit of the plan purchased. We may suspend the ability to add further members if an organization exceeds its seat limit until the organization upgrades or removes members.
5. Acceptable use
You agree not to use Cerdyn to:
- Impersonate another person or misrepresent your affiliation with any person or organization;
- Upload unlawful, infringing, defamatory, or malicious content (including as a card logo);
- Attempt to gain unauthorized access to other users' accounts, cards, or organizations;
- Interfere with or disrupt the operation of the service, including through automated scraping or abuse of the QR code, vCard, or email-sending functionality;
- Use the service for any unlawful purpose or in violation of any applicable law.
6. Your content
You retain ownership of the business card details, logos, and other content you upload to Cerdyn ("Your Content"). You grant us a limited licence to host, store, and display Your Content solely as necessary to operate the service — for example, generating your card page, QR code, and downloadable contact file. You're responsible for ensuring you have the right to upload any logo or image you use.
7. Service availability
We aim to keep Cerdyn available and reliable but don't guarantee uninterrupted access. We may suspend or modify the service (in whole or in part) for maintenance, security, or operational reasons, and will aim to minimise disruption where reasonably possible.
8. Termination
You may stop using Cerdyn and delete your cards at any time. We may suspend or terminate accounts that breach these Terms, including non-payment of subscription fees or misuse of the service. On termination of a paid subscription, these Terms' provisions relating to billing for the period already paid continue to apply.
9. Disclaimers and liability
To the maximum extent permitted by law, Cerdyn is provided "as is" without warranties of any kind. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded, restricted, or modified — including under the Australian Consumer Law. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to resupplying the service or paying the cost of having the service resupplied.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll take reasonable steps to notify you (such as an email or an in-app notice) before the changes take effect.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
